Terms for venues

The agreement between Olladay and the business that uses Olladay to sell its sessions, passes, memberships and gift vouchers.

These terms were last updated .

1. About these terms

Olladay is operated by Donncha O Toole, trading as Olladay, of Bellevue House, Bellevue Demesne, Delgany, Co. Wicklow, Ireland (“Olladay”, “we”, “us”). You can contact us at hello@olladay.com.

These terms apply between Olladay and the business that creates a business in the Olladay console (“you” or “the venue”). By creating a business, publishing a booking page, connecting Stripe or starting Olladay Pro, you agree to these terms, our data processing agreement (which forms part of them) and the fees set out below. If you accept them for a company or other organisation, you confirm you have authority to bind it.

Olladay is for businesses. You agree that you use it for your trade or business and not as a consumer.

2. What Olladay does, and who sells to your customers

Olladay is booking software. It gives you a booking page, timetable, console, emails to your customers, reports and the other features described on our site. Customers book and pay through your booking page.

You are the seller. Every session, pass, membership, gift voucher and extra is sold by you, under your name, at your prices and on your own terms. The contract for a session is between you and your customer. Olladay is not a party to it and does not provide the session.

Payments go to your own Stripe account. Card payments are taken by Stripe, directly on your own connected Stripe account, and paid out to you by Stripe. Olladay never holds your takings. Your use of Stripe is also governed by Stripe’s own agreement with you, including the Stripe Connected Account Agreement and the Stripe Services Agreement. Stripe decides whether to accept or keep your account, and Stripe’s card processing fees are charged by Stripe to your Stripe balance.

3. Fees for bookings

You choose, on Fees and who pays in the console, who pays Olladay on paid online bookings. You can switch at any time. A change applies to bookings started after you save it; bookings already made or being paid for keep the price they were quoted.

  • Free for you (the default). Your customer pays a booking fee of €0.49 per person (£0.45 for venues that sell in sterling) on each paid online booking. A private hire counts as one place. Olladay shows every price with the booking fee already included (for example “€20.49 incl. €0.49 booking fee”); it is never added at the end of checkout. You pay Olladay nothing on those bookings.
  • You pay. Your customer pays exactly your price, and you pay Olladay 1% of each paid online booking, with no monthly cap and no monthly fee.

Founding venues. The first 50 venues that publish a booking page with a live, verified Stripe account become founding venues. A founding venue that chooses to pay Olladay itself pays 0.5% of each paid online booking for as long as it uses Olladay, with no cap, instead of 1%. It also gets Olladay Pro free for 3 months from the day it qualified. Founding terms are recorded on your business when you qualify and are not changed by later price changes. One founding place is available per owner sign-in and per Stripe account. We may withdraw a founding place that was obtained by duplicate, test or misleading accounts.

Other sales.

  • Card payments taken at your counter with Olladay (walk-ins, extras, quick sales and vouchers sold in person) carry your own percentage rate (1%, 0.5% for a founding venue, or your agreed rate), whichever option you chose for online bookings. No booking fee is added at the counter.
  • Passes, memberships and gift vouchers sold online carry your own percentage rate. Your customers never pay a booking fee on them.
  • Olladay charges nothing on cash sales or sales marked as paid, free bookings, bookings you add yourself, bookings paid in full with a pass, membership, gift voucher or account credit, and bookings from Viator or GetYourGuide (their own commission applies). A booking paid partly with a voucher or credit and partly by card is a paid online booking.
  • Operators with 3 or more locations can agree a custom rate with us in writing.

How fees are collected. Olladay’s fee is collected by Stripe as an application fee at the time of each card payment, and the rest of the payment stays in your Stripe balance. We do not send separate invoices for these fees. The console shows what you and your customers paid Olladay each month under Reports and Fees and who pays. Stripe’s card fee is separate, comes out of your Stripe balance, and is worked out on the whole amount charged, including any booking fee.

Refunds. When you cancel a booking or give a full refund, the whole amount goes back to the customer, including any booking fee, and Olladay returns its fee. When a customer cancels under a policy that keeps a cancellation fee, or takes account credit, or you give a part refund, Olladay keeps its fee and the refund comes out of your price. Stripe does not return its own card fee on refunds. Disputes and chargebacks are between you, your customer and Stripe, and any dispute fee is charged by Stripe to you.

Taxes. You are responsible for VAT and any other taxes on your own sales.

Changes to fees. We may change our fees by giving you at least 30 days’ notice by email. A change never applies to bookings started before it takes effect, and never changes recorded founding or agreed custom terms.

4. Olladay Pro

Olladay Pro is an optional paid add-on, per location: €39 a month or €390 a year (£35 a month or £350 a year for venues that sell in sterling), plus VAT where it applies. Taking bookings never needs Pro. The features Pro includes are listed on the Plan and billing page in the console.

  • Paying. There is no free trial. You pay from the day you subscribe, by card, through Stripe on Olladay’s behalf.
  • Renewal. Pro renews automatically every month or every year, depending on the plan you choose, and your card is charged at the start of each period until you cancel.
  • Cancelling. Only the owner can cancel, any time, under Plan and billing → Card, invoices and cancelling, or by emailing us. Pro keeps running until the end of the period you’ve paid for, then stops. We don’t refund part periods, except where the law requires it or where we end Pro without you being at fault, in which case we refund the unused part.
  • Failed payments. If a payment fails, Stripe retries it. If it still can’t be collected, Pro stops.
  • Texts. Texts are counted in message parts (segments), the way text providers charge for them: a standard text is one part up to 160 characters, and a text with emoji or non-Latin characters is one part up to 70. 300 parts a calendar month are included per location. A paying Pro venue can carry on past 300 at €0.10 (£0.06) a part, billed on a separate invoice early the next month. Founding and complimentary Pro has no card on file, so texts stop at 300 parts until the next month.
  • Free Pro for founding venues ends after its 3 months. You won’t be charged unless you choose to subscribe. If you subscribe before it ends, you give your card then and are first charged on the day your free Pro ends.
  • When Pro ends, your settings are kept, but Pro features stop working. In particular, connected electric heaters are switched off and are no longer started by bookings, new bookings get your usual door code, and texts, accounting sync, Viator and GetYourGuide sales, counter card payments and busy and quiet pricing stop.
  • Price changes. We will give you at least 30 days’ notice by email before a new Pro price applies to your next renewal.

5. Your responsibilities

You are responsible for your business, your sessions and your dealings with your customers. In particular, you agree:

  • Accurate information. To keep your business details, sessions, times, capacity, prices, extras and descriptions accurate and up to date, and to honour bookings made at the prices shown.
  • Consumer law. To comply with the consumer law that applies to you, including the information you must give before a booking, your trading name and contact details, price display, cancellation and refund rights, and gift voucher rules (in Ireland, gift vouchers must be valid for at least 5 years).
  • Your policies. To set clear booking, cancellation and refund terms in the console, and to give refunds in line with them and with the law. You handle your customers’ questions and complaints about your sessions.
  • Safety. To run your premises and sessions safely, with suitable supervision, equipment, maintenance, water safety, emergency procedures and insurance.
  • Waivers and health questions. The wording of your health and safety terms, waivers and health questions is yours. Olladay provides the tools to show them and record agreement, but does not write or check them and does not give legal or medical advice. Health answers are special category personal data: you must have a lawful basis and condition for collecting them and ask only what you need.
  • Licences and permissions. To hold and keep every licence, permit, consent, planning permission, landowner or foreshore permission and insurance your business needs.
  • Remote heater control. To connect a heater to Olladay only if it is installed by a competent person and is certified for remote or timed starting (for sauna heaters, normally under EN/IEC 60335-2-53, which usually needs a door switch or similar protection), and only after you have given the confirmation the console asks for. You remain responsible for the heater, the sauna room and checking it is safe before use. Olladay sends on and off instructions to the heater maker’s service and is not responsible for the heater, its controller or that service.
  • Your team and accounts. To give team access only to people who need it, remove it when they leave, and keep sign-ins secure. You are responsible for what happens under your business’s accounts.
  • Your customers’ data. To use customer information lawfully, including getting consent where you need it for marketing, and to import only records you are allowed to use.

6. Acceptable use

You must not use Olladay to sell anything illegal, unsafe or that Stripe does not allow; to mislead customers; to send spam or unwanted marketing; or to collect information you have no right to. You must not try to access other venues’ data, test or bypass our security, overload our service, copy or scrape it, or reverse engineer it except where the law allows.

7. Data protection

Your customers’ data. For the personal data of your customers, guests and team that Olladay handles to run your booking service, you are the controller and Olladay is your processor. Our data processing agreement sets out how we handle it and forms part of these terms.

Olladay’s own data. For your own account information (your sign-in, contact and billing details and support messages) and for running, securing and improving Olladay, Olladay is the controller, as explained in our privacy notice. Olladay is also controller of the booking fee it charges customers and the records it needs for that. We may use information that has been made anonymous or aggregated so that no venue or person can be identified, for example to measure and improve the service.

8. Your content and our software

You keep ownership of your content, such as your business name, logo, photos, descriptions and customer records. You give Olladay permission to host, copy and display it as needed to run your booking page and the service, including in the Find a sauna directory, share images and search results for your booking page. You confirm you have the rights to the content you add.

Olladay owns the software, design and brand. We give you a right to use Olladay for your business while these terms are in force. If you send us feedback, we may use it freely.

9. Availability, support and changes to the service

We work to keep Olladay running and secure, and we take regular encrypted backups. We don’t promise that Olladay will always be available or free of errors, and we may need to pause it for maintenance or emergencies. We may improve, change or remove features. If we remove a feature you pay for, we’ll tell you in advance where we can and refund any unused prepaid amount for it. Support is by email to hello@olladay.com; Pro venues are answered first.

Some features depend on services we don’t control, such as Stripe, Google, email and text delivery, heater and lock makers, accounting software and booking marketplaces. We aren’t responsible for those services or for what happens when they are unavailable.

10. Suspension and ending

You can stop using Olladay at any time. You can unpublish your booking page, cancel Pro, and delete a business that has never taken card payments in the console. To close a business that has taken card payments, email us and we will close it for you.

We may end these terms for any reason by giving you at least 30 days’ notice by email. We may suspend or close your business immediately, with notice where we can, if you seriously or repeatedly break these terms, if we reasonably believe there is fraud, a risk to safety or a risk of harm to customers or others, if Stripe closes or restricts your account, or if the law requires us to.

Your data. While your business is open you can download your customers, bookings, passes, vouchers, orders, signatures and group bookings as CSV files at any time, under Download your data. For 30 days after your business closes we will, on request, send you an export of the same records. After that we delete or anonymise your data as set out in the data processing agreement, apart from records we have to keep by law, such as payment and accounting records.

Bookings still to come. When you close, you remain responsible for any sessions you have already sold, and for honouring or refunding them, and any passes, memberships and gift vouchers you have sold.

Sections 3 (for fees already due), 7, 8, 10, 11 and 13 continue after these terms end.

11. Liability

Nothing in these terms limits or excludes liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot be limited or excluded by law.

Subject to that, Olladay is not liable for loss of profits, revenue, business, goodwill or anticipated savings, or for any indirect or consequential loss. Olladay’s total liability to you under or in connection with these terms in any 12-month period is limited to the greater of €100 and the total fees Olladay received from you, and as booking fees from your customers, in the 12 months before the event giving rise to the claim.

You are responsible for, and will cover Olladay against, claims by your customers or others arising from your sessions, premises, equipment, heaters, products, content, policies or breach of the law or these terms, except to the extent the claim is caused by Olladay’s breach of these terms.

12. Changes to these terms

We may update these terms. We will give you at least 30 days’ notice by email of any change that materially affects you, before it takes effect. Changes needed to meet a legal requirement, or that only add new optional features, can take effect sooner. If you don’t agree to a change, you can stop using Olladay before it takes effect. If you carry on using Olladay after that, the updated terms apply. The date at the top of this page shows the current version.

13. General

  • We send notices by email to the email address on your business’s owner account. You can send notices to hello@olladay.com.
